Some of them are very exciting and glamorous — "What great name should we give our business?", "What fun logo should we choose?" Some decisions we make are not so glamorous, but so important! Here, I'll focus on the not so difficult decisions you need to make when you set up your business. What kind of Entity should we be? Many new business owners often struggle with how to establish their business. First, I suggest talking to a tax professional or a lawyer before making this decision. All companies operate differently and when you are trying to make this decision, you need to consider what kind of business you are running, how many people are involved, and how your personal fiscal situation is. Below are some examples of entities that should consider: Sole Proprietor: If you operate a business on your own and the business is not incorporated, you are more likely than a single owner. Owners must complete an individual tax return using Annex C which will serve as a statement of profit and loss (P pestL). This will include all your business revenues and your expenses. You would present Program C with your staff 1040 for 15 April each year. In addition to the regular income tax, a single owner will pay taxes on self-employed employment, at the same rate as the employee and employer's share of Social Security and Medicare taxes. The advantage of this business entity is simplicity; it is not necessary to create a separate legal entity or to present a separate fiscal declaration. "You can stop and start a unique property at any time, so this is a good way to wet your feet while you explore if your business will be successful," says Marcie Rahn, Master Counselor and Agent Inscribed at Block Advisors. Partnerships: Partnerships have two or more people working together in a trade or business. Each person provides money, property, labor or skill and expects to share the profits and losses. An association must submit an annual return of information using the 1065 form due to March 15. An association does not pay taxes at the level of commercial entities, but instead passes the profits and losses to the partners. It is not taxed as a C-Corp, but like associations, income and losses are transmitted to shareholders who will report the fiscal consequences on their individual fiscal performance. If you work for your S-corp, you will be paid a reasonable wage for your services, which are subject to Social Security and Medicare taxes, but additional business gains are taxed as regular income. "There are situations in which autonomous individuals can use an S-Corp to save self-employment taxes, so you may want to explore these options as your business grows," Rahn says. Limited Responsibility Company: A LLC is a legal entity that can be treated in several different ways. While an LLC provides legal protection for a business, it does not have a specific tax form like other business entities. Instead, the IRS looks beyond the LLC designation to see how many members the LLC has and if it has made choices to present taxes as a specific type of business. A default rule deals with a single-member LLC as a sole proprietor for tax purposes. If the LLC has two or more members, a default rule treats it as an association for tax purposes. The LLC could also choose to be treated as C- or S-Corp, and present taxes like those entities. A common mistake is that all owners must form an LLC, but this is not true. Although the LLC state does not carry tax benefits, legal protections can be important for companies of all shapes and sizes. Most businesses use a calendar year (January 1 to 31 December), which is easy and fits the dates of their personal tax returns and tax documents. However, a fiscal year could be better for your business. For example, if you are in a highly seasonal industry, you may want to finish your year after your season is over. A fiscal year can be any 12 consecutive months ending the last day of the month beyond 31 December. Another option is a fiscal year of 52 to 53 weeks. This is a fiscal year that varies from 52 to 53 weeks but does not have to end the last day of a month. You may need an EINEIN represents the identification number of employers. Although it is only required if your business is incorporating, operating as an association, or has employees, it is a good idea for every business. You will provide your tax identification number to contractors and suppliers frequently, and it is better to have an EIN to give your personal social security number! An EIN is very easy to request on the IRS website. You should always consult a tax professional or a lawyer before incorporating or changing your business structure, and don't forget that you can always change the way your business is set on your journey.
